Summary:
The First and Main Business Improvement District No. 2 (BID) is a legal entity separate from the City of Colorado Springs. However, as required by State statute, it is necessary for City Council to review and approve the proposed 2026 Operating Plan and Budget for the BID.
The District intends to decrease the operations and maintenance mill levy from 1.040 mills to 0.0957 in 2026. Additionally, the debt service mill levy will be increased marginally from 52.480 to 53.703 mills. Other than the mill levy change the Operating Plan and Budget for this BID includes no significant anticipated activities or changes other than District administration and payment of outstanding bonds. Public improvements in 2026 are contemplated but would be limited.
Background:
The boundaries of this development-specific BID were established pursuant to an election in 2008 and were modified in 2018. This District’s elected board is comprised of individuals associated with Nor’wood Development Group. First & Main No. 2 encompasses approximately forty-five (45) acres southeast of the intersection of North Powers Road and North Carefree Circle. The District is authorized to provide the acquisition of improvements, construction of improvements, operation and maintenance of parking facilities, roadways, lighting, driveways, public utilities, and landscaping.
The District entered into an Intergovernmental Agreement in 2014 with First and Main Business Improvement District. The intergovernmental revenue represents transfers from First and Main Business Improvement District to provide funding for the overall administrative and operating costs for both Districts. The District anticipates intergovernmental revenue to be received in 2026 in conjunction with the intergovernmental agreement which is expected to be approximately eighteen thousand dollars in revenue.
Similar to other Districts, November 4, 2025 will hold an election for eligible electors to determine whether a waiver of the 5.25% property tax limit should occur. No elections are planned for 2026.
This Operating Plan and Budget is provided in format consistent with the standard template approved by Council in August 2022 for these documents.
Previous Council Action:
City Council approved creation of this BID in 2008 from within the original boundaries of the First and Main Business Improvement District (Ordinance No. 08-144) and has approved the BID Operating Plan and Budget annually since its formation. Council also approved issuance of the BID’s 2009 and 2010 bonds (see below), as well as a minor property inclusion in 2012. In 2014, Council approved an ordinance authorizing this BID to convert from a Council-appointed to an elected board of directors. (This conversion was subsequently formalized via a May 2014 election.) In April 2015, Council authorized this BID to issue an additional $3,475,000 in privately placed bonds to be used to reimburse the developers of this project for completed public improvements costs, using a combination of property tax and public improvement fee (PIF) revenues. In April 2018 Council approved the inclusion of additional property (Ordinance No. 18-34). In 2022 Council approved the District’s 2023 Operating Plan which included an Exhibit E that described a summary of public improvements supporting City Council authorization to issue debt in conformance with 7-100 of the City Charter (Resolution No. 160-22), as a result the District issued its Series 2022 Public Improvement Fee Revenue Bond in the principal amount of $6,700,000 with an interest rate of 6.5% and its Series 2022 Limited Tax General Obligation Bond in the principal amount of $3,941,000 with an interest rate of 6.5%.
More recently, City Council approved the issuance of a Series 2025 Limited Tax General Obligation Bond in the principal amount of $1,480,000 with an interest rate of 7%. This debt issuance was approved earlier in 2025 through Resolution No. 58-25. This bond issuance was accompanied by an amended to the 2025 Annual Report and Budget to account for this bond issuance.

Financial Implications:
The District issued $2,400,000 in Limited Tax General Obligation Bonds, Series 2009 to pay for debt services and general operating expenses of the District. In 2010, the BID issued $2,000,000 in Series 2011 Public Improvement Fee (PIF) Revenue Bonds. Both bonds carry an interest rate of 8.5% and are subject to optional redemption beginning December 1, 2012. The combined $3,475,000 in Series 2015 PIF and Limited Tax General Obligation bonds carry an interest rate of 6.75%. In 2022 the District issued $6,700,000 in Special Revenue Bonds and $3,941,000 in General Obligation Bonds with an interest rate of 6.5% per annum.
In 2025, the District anticipates imposing a mill levy of 1.049 mills for operations and maintenance expenses and a debt service mill levy of 52.483 mills. Compared to 2026 planned mill levies, a minor decrease will be made to the operation and maintenance mill levy bringing it to 0.957 mills, and an increase to 53.703 debt service mills. This BID also levies a public improvement fee (PIF) of $0.0075 on each $1.00 of retail transactions (0.75%). For 2026, the District is anticipating $860,000 in PIF revenue, which is up considerably from the projected revenue in 2025 ($775,000). The District estimated that at the end of 202 there will be total outstanding developer advances of $9,978,415 which represents interest only as the remaining principal developer advance of $10,525,602 was paid off in 2022 with the bond issuance proceeds. The District has retired approximately $4.6 million dollars of the outstanding accrued interest, bringing the remaining total to approximately $5.3 million in outstanding interest.
The budget for this BID projects adequate fund balances and revenues to meet these combined debt service obligations.
As a separate legal entity, the financial activities of the BID are separate from those of the City. Any financial obligations are specifically associated with the properties within the BID boundaries and do not constitute an obligation of the City.
